GENERAL SUMMARY:

Acting as a corporate generalist, responsibilities include the management of legal agreements and other transactional work at the credit union, including reviewing contracts and other legal documents and working with the business units in their interpretation, negotiation and documentation. Provides legal support and counseling to the credit union regarding a variety of matters, including regulatory compliance, contracts, litigation, consumer and commercial lending and deposit transactions and loan documentation, mergers and acquisitions, real estate, and general corporate matters.

Salary range is $104,328.00 to $146,059.20 . Job Grade, EXEC 17. Final salary is dependent on candidate’s experience and qualifications.

QUALIFICATIONS:

Minimum education & Experience Requirements:

* law degree with admission to the Arizona state bar or ability to register as corporate counsel in the State of Arizona

* 5 years’ experience with a recognized law firm, corporate legal department, or other professional services firm

o Experience with contract law, drafting and negotiations

o Thorough knowledge of the financial services industry and environment

WORKING CONDITIONS/ENVIRONMENT:

Typical office environment. The job requires the employee to sit most of the time. Infrequent lifting of up to 20 lbs. may be required. Some travel may be necessary in Pima, Pinal and Maricopa Counties.

OTHER REQUIREMENTS:

Must comply with all aspects of the Bank Secrecy Act (BSA).

MAJOR ACCOUNTABILITIES AND TASKS:

1. Drafts, reviews, negotiates, and manages a wide range of contractual arrangements in support of business initiatives while minimizing business risk; advises internal business partners on contract interpretation, negotiation and documentation strategies to optimize contractual understanding and outcomes for the credit union.

2. Provides day-to-day legal support and counseling across the organization on operational, transactional and general corporate matters.

3. Works with internal legal and compliance teams in connection with the interpretation and implementation of legal, regulatory or legislative mandates; assists with regulatory inquiries and examinations; Assists other departments with changes to applicable laws and regulations and guidance from state and federal agencies to ensure ongoing compliance.

4. Ensures compliance with internal contract review and tracking standards and processes.

5. Drives the continuous improvement of standard form agreements and legal processes.

6. Collaborates with General Counsel in analyzing complex transactions and to identify legal issues with cross-functional impact; assists in overseeing and managing long-term and/or legal projects or disputes with significant financial or other business impacts.

7. Works with internal legal, business, compliance and risk teams to address corporate-wide initiatives, including the development, interpretation, implementation and improvement of corporate policies and procedures.

8. Conducts legal research on an as need basis and prepares memoranda, legal correspondence or other materials summarizing and applying research and analysis to credit union issues.

9. Collaborate with the General Counsel to engage and manage outside counsel.

10. Performs other duties as assigned.
