DEPARTMENT/ROLE: Associate Counsel – Corporate

JOB ROLES AND RESPONSIBILITIES:

  1. Provide legal and business counsel and support to:
    1. VP, Associate General Counsel & Corporate Secretary;
    2. SVP and General Counsel;
    3. Executive Leadership Team;
    4. Accounting, Finance Investor Relations, Marketing, Treasury and Talent & Growth personnel; and
    5. to other departments including, but not limited to, Sales and Account Management, Operations, Network Development, and
  2. Function as a Legal Department resource with respect to all securities, board, corporate governance, debt, executive compensation, entity management (including international), strategic transactions (M&A, joint ventures, strategic alliances, etc.) matters and functions:
  1. Assist in the preparation and filing of all SEC filings, including the Company’s 10-Ks, 10-Qs, 8-Ks, Proxy Statements, Section 16 Reports, and other SEC-related
  2. Contribute to public company communications, including press releases, social media posts, investor slide decks and investor
  3. Advise senior management, including leaders in accounting, finance, and investor relations, with respect to disclosure matters and NYSE, SEC and corporate law requirements, including Reg
  4. Assist with development and administration of policy and procedures related to all securities matters, including Insider Trading Policy, and related equity
  5. Provide legal support for securities-related transactions including public offerings and other
  6. Assist with planning and executing Company’s Annual Meeting of
  7. Support public company secretarial function, including assisting with the preparation of board and committee materials, and advising with respect to corporate governance best
  8. Assist in the management of the corporate secretarial/entity management function for subsidiaries, including international.
  9. Assist in the operation of the Company’s Employee Stock Purchase Plan, Equity Plan, and corporate responsibility program.
  10. Assist in the training of Legal Department staff and of other departments regarding use of materials related to securities and other related
  11. Assist in transactional matters, including M&A, joint ventures, strategic alliances, complex contracts (e.g., joint development agreements, complex technology transactions) and other similar transactions.
  12. Assist with intellectual property, real estate, and licensing matters.
  13. Assist in international/cross-border operations, including entity management and transactional work.
