Responsibilities:

  • Provide legal counsel related to private and syndicated financing transactions involving multi-tiered capital structures in connection with domestic and cross-border acquisitions, public-to-private buyouts, leveraged recapitalizations, in-court and out-of-court restructurings, and liability management exercises.
  • Draft financing documents, including term sheets, credit agreements, notes issuance documents, security documents, preferred equity issuance documents, intercreditor agreements, and corporate governance documents.
  • Prepare legal opinions in connection with secured term loans, revolving loans, asset-backed loans and restructurings.
  • Structure and negotiate domestic and international credit support arrangements in support of bespoke financings.

position Requirements:

  • JD, Bachelor of Laws or foreign equivalent
  • One (1) year of experience in the offered position or a related occupation.
  • New York Bar admission required

One (1) year of experience must include:

  • Leveraged-finance transactions, including term debt financings, revolving loan financings and secured notes issuance, spanning senior, mezzanine and subordinated debt.
  • Debtor-in-possession financings, exit financings, and liability management exercises.
  • Drafting financing documents, including term sheets, credit agreements, security documents, secured notes indentures and intercreditor agreements.
  • Preparing corporate documents, including preferred equity issuance documents, LLC agreements, resolutions, and officer certificates.
  • Conducting due diligence reviews for secured and unsecured loan documents, customer contracts, asset purchase agreements, and corporate organizational documents.
