Vantor is seeking aDirector, Corporate Attorneyto join our legal team. In this role, you will work on complex and high-impact legal matters, partnering closely with business leaders to provide pragmatic, creative, and business-focused legal guidance. You bring deep experience insoftware-drivencontractingandlicensingwork, and technology transactions, and you thrive in solving challenging problems with innovative solutions.
This position canbe inWestminster, CO or Herndon, VA, and requires three days of in-office work per weekand hybrid for the other two days.
Responsibilities

Draft, review, and negotiate complex software and technology agreements, including SaaS agreements, subscription agreements, platform licenses, andproductintegrationagreements.

Partner closely withproduct, engineering, and commercial teams to enabledeployment ofscalable technologysolutions.

Review, draft, and negotiate complex commercial agreements with enterprise customers anddistributors.

Review, draft, and negotiate U.S. Government contracts,subcontracts, and related agreements.

Supportsales andbusinessdevelopment teams in structuring and negotiating complex commercial deals while balancing speed, scalability, and risk.

Support the implementation of AI-enabled contracting tools within the Legal department and across the company.

Develop andmaintaintechnology-focused contract templates, fallback positions, and negotiation playbooks to improve efficiency and consistency.

Provide clear, practical legal advice to cross-functional teams, includingFinance,Sales, Product, Marketing, IT, and Communications.

Manage agreements and disputes in alignment with company policies, risk tolerance, and businessobjectives.
MinimumRequirements
-
Must be a U.S. Citizen
-
Juris Doctor (JD) degree from an accredited law school.
-
Admitted to the bar and in goodstanding, orotherwise authorized to practice law in Colorado or Virginia.

Experience (typically8+ years) handling software, technology, and product licensing transactions, either in-house at a technology company or in a leading law firm technology practice.

Ability to obtain security clearance through the U.S. Government

Pay Transparency: In support of pay transparency at Vantor, we disclose salary ranges on all U.S. job postings. The successful candidate’s starting pay will fall within the salary range provided below and is determined based on job-related factors, including, but not limited to, the experience, qualifications, knowledge, skills, geographic work location, and market conditions. Candidates with the minimum necessary experience, qualifications, knowledge, and skillsets for the position should not expect to receive the upper end of the pay range.
* The base pay for this position within Colorado is: $164,000.00 – $273,000.00 annually.* The base pay for this position within the Washington, DC metropolitan area is: $180,000.00 – $300,000.00 annually.
For all other states, we use geographic cost of labor as an input to develop market-driven ranges for our roles, and as such, each location where we hire may have a different range.

Additionally, this position is incentive eligible with a target based on contribution, company performance, and/or individual results achieved; the specific incentive plan and target amount will be determined based on the role and breadth of contributions.
