Protective Life Corporation seeks an experienced legal Analyst to join the Corporate & Transactions Team within our Legal Department. This role is primarily focused on corporate governance and also supports regulatory activity related to life insurance operations. The ideal candidate brings at least three years of experience in corporate governance, paralegal work, or governance roles in corporate or nonprofit settings. This position is an opportunity to contribute to highvisibility governance processes, collaborate with attorneys and business partners, and support legal and regulatory compliance efforts pursuant to the Insurance Holding Company Act. Strong organization, communication, and timemanagement skills are essential, along with the ability to work independently and in a team environment.

Key Responsibilities

  • Support corporate governance activities for Boards of Directors and committees, including scheduling meetings, preparing agendas, coordinating with presenters, preparing meeting materials, drafting resolutions, and drafting meeting minutes.
  • Manage meeting day logistics and maintain organized records.
  • Use the Diligent Board Portal platform to support preparation and distribution of meeting materials.
  • Research legal and regulatory requirements and assist with Insurance Holding Company Act filings and approval processes.
  • Communicate with state insurance regulators and internal stakeholders.
  • Analyze and organize due diligence materials for corporate transactions.

Skills, Abilities, and Knowledge Required

  • Strong attention to detail and the ability to skillfully manage multiple priorities.
  • Excellent written and oral communication skills.
  • Ability to work both independently and collaboratively with internal teams and external stakeholders.
  • Highly organized with proven timemanagement skills.
  • Proficient in Microsoft Office Suite with demonstrated success in learning other technology platforms.
  • Knowledge of corporate governance processes and board operations within corporate or nonprofit organizations.
  • Familiarity with the life insurance industry or other regulated industries is preferred but not required.

Qualifications

  • Minimum of three years of experience in corporate governance, paralegal work, or governance support for corporate or nonprofit boards.
  • Associate degree required, Bachelor’s degree preferred.
  • Paralegal certification preferred.
  • Experience drafting resolutions, minutes, or other formal governance documentation is a plus.
Protective’s targeted salary range for this position is $79,500 to $95,000. Actual salaries may vary depending on factors, including but not limited to, job location, skills, and experience. The range listed is just one component of Protective’s total compensation package for employees.
