KPMG is currently seeking a Senior Associate, Paralegal – Corporate Transactions and Governance to join our legal, Risk Management and Compliance team.
Responsibilities:
- Perform entity management duties for all subsidiaries and affiliates of KPMG US and regional entity, including maintenance of corporate organizational chart, and records of directors and officers
- Undertake corporate secretarial duties, such as keeping track of board agendas, minutes and scripts, drafting resolutions
- Assist with other corporate legal matters such as maintaining shared files and templates and managing projects
- Conduct intake of matters for Corporate Transactions and Governance attorneys
- Help with various corporate transactions, including M&A, financing, and internal reorganizations
- Assume additional duties and responsibilities as assigned
- Act with integrity, professionalism, and personal responsibility to uphold KPMG’s respectful and courteous work environment
Qualifications:
- Minimum ten years of recent experience working as a paralegal or similar role with in-house counsel or a law firm
- Bachelor’s degree from an accredited college/university
- Working knowledge of basic business software including Microsoft Word, Excel, Outlook, SharePoint and PowerPoint
- Experience working with non-US jurisdictions; Spanish language capability a plus
- Strong analytical, organizational, and project management skills, with a focus on accuracy and attention to detail; demonstrated ability to work within a team environment that is fast paced
- Sound professional and ethical judgment, tact, and initiative to work appropriately with senior management and Board members; ability to multitask and prioritize a diversified workload, meeting established deadlines with minimal supervision
- Be an active listener with exceptional written and oral communications skills, strong interpersonal skills
