NTN USA Corporation is a leader in the precision automotive and industrial components industry. Their parent organization in Japan has been in existence for over one hundred years, and the Americas Region has been operating for over 50 years. The Americas Region has revenues of approximately $1.6B with 5,000 employees across 18 facilities. We are currently seeking to fill a (Sr.) Corporate Counsel position for our Schaumburg, Illinois office (a suburb of Chicago). This will be a hybrid work environment of 3-4 days per week for the first three to six months, then twice a week thereafter. Competitive salary and excellent benefits.

Position Overview

The Sr. Corporate Counsel’s primary responsibilities will be to:

  • Draft, review, and finalize business-to-business contracts and licenses and assist in resolving customer issues.
  • Resolve disputes with vendors, suppliers, contractors, subcontractors, and other business partners. experience with United States-Mexico-Canada Agreement (USMCA), U.S. Customs, Foreign Trade Zone (FTZ), and supply chain partners from the United States, Japan, and Southeast Asia preferred.
  • Provide legal support and review/preparation of contracts for manufacturing suppliers.
  • Support stakeholders with facility and service contract matters.
  • Advise stakeholders on appropriate courses of action regarding contracts, regulatory requirements, and other issues to support daily business operations.
  • Assist with management of the internal customs/paralegal team.
  • Support Corporate Human Resources and Finance regarding company policies, corporate governance, internal controls, and cyber security issues.
  • Participate in surveys and audits with customers, suppliers, and external auditors.
  • Manage content and operations of the contract lifecycle management systems.
  • Provide training and guidance to internal stakeholders and clients on legal matters and corporate governance issues.
  • Stay informed about regulatory issues affecting business operations.
  • Model behaviors that support the NTN Code of Conduct, Vision, and Principles.

Qualifications

The following qualifications and skills are required of the Senior Corporate Counsel:

  • Juris Doctor (JD) degree from an accredited college or university required.
  • Licensed to practice law in the state of Illinois, with operations in Michigan, Indiana, and Illinois, and satellite locations in Georgia and Alabama.
  • Minimum of five (5) years prior experience working in a law firm or other corporate legal setting required, with at least three (3) years of corporate/in-house counsel experience preferred.
  • Strong interpersonal skills to effectively manage complex situations and represent the company in internal leadership meetings as well as interactions with customers, suppliers, and regulatory agencies.
  • Licensed to practice law in the state of Illinois, with operations in Michigan, Indiana, and Illinois, satellite locations in Georgia and Alabama.
  • Critical thinking and ability to proactively identify potential problems and mitigate existing issues while driving for results in a timely fashion.
  • Excellent communication, listening, and verbal communication skills that allow the “voice of the customer” to understand the company’s culture.
  • Ability to collaborate, influence, and negotiate by building close relationships and partnerships inside an organization through systematic influence.
  • Organized, detail-oriented, reliable, and able to manage multiple projects in a fast-paced environment.
  • Intermediate Microsoft Office skills.
